Terms of Service

These Terms of Service ("Terms") govern access to and use of the MedImages website (medimages.org) and hospital management software platform (the "Service"), operated by MedImages ("MedImages", "we", "us", or "our"). By registering for an account, starting a trial, or otherwise using the Service, you ("Customer", "you") agree to be bound by these Terms. If you are registering on behalf of a hospital, clinic, or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Service
MedImages provides a cloud-based, multi-dashboard hospital management platform, including modules such as patient records, doctor/receptionist workflows, laboratory, pharmacy point-of-sale, cashier/billing, ward management, accounting, and administration. Features available to a given account depend on the subscription plan selected.
2. Accounts & Eligibility
You must provide accurate, complete registration information and keep it up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of login credentials issued to your staff. You must promptly notify us of any unauthorized access or use of your account.
As the account administrator, you are responsible for assigning appropriate roles and access levels to your staff (doctors, receptionists, pharmacy, lab, cashier, and other users) within the Service.
3. Subscriptions, Trial & Billing
- New accounts receive a 15-day free trial. No payment is required to start a trial.
- After the trial ends, continued access requires an active paid subscription (currently offered as "Basic" and "Pro" plans, billed monthly, at the pricing displayed on our Subscribe page at the time of purchase).
- Subscription fees are billed in advance and, except where required by law or expressly stated otherwise, are non-refundable, including for partial billing periods.
- We may change subscription pricing or plan features on a going-forward basis, with reasonable notice posted on the Subscribe page or communicated to the account's registered email.
- If payment is not received or verified, we may suspend or downgrade access to the Service until payment is resolved, subject to Section 8 (Suspension & Termination).
- You are responsible for any taxes applicable to your subscription, excluding taxes on MedImages' net income.
4. Patient Data — Your Responsibilities
This section is central to how the Service may be used and should be read carefully.
As set out in our Privacy Policy, when you or your staff enter patient records, images, lab results, prescriptions, or other health-related information into the Service, you (the Customer) are the data controller for that data, and MedImages acts only as a data processor / service provider storing and processing it on your instructions.
You are solely responsible for:
- Obtaining any patient consents required to collect, store, and process that data through the Service;
- Complying with all healthcare data protection and privacy laws applicable to you and your patients (including, where applicable, HIPAA, GDPR, or local equivalents), including entering into any additional data protection agreement with us that such laws may require of a processor;
- The accuracy, legality, and appropriateness of all data you or your staff enter into the Service;
- Configuring staff roles and access permissions appropriately for your organization; and
- Maintaining your own backup or export of critical records where you deem it necessary — see Section 6.
MedImages does not review, verify, or take responsibility for the clinical accuracy of any data entered by Customers. The Service is a record-keeping and workflow tool, not a source of medical advice, diagnosis, or treatment recommendations.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable healthcare regulations;
- Attempt to gain unauthorized access to another Customer's data or account;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- Resell, sublicense, or provide access to the Service to any third party outside your own organization without our prior written consent;
- Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests; or
- Upload malicious code or content that infringes the rights of any third party.
We may suspend accounts engaged in activity that we reasonably believe violates this section.
6. Availability, Backups & Data Loss
We use reasonable efforts to keep the Service available and to protect stored data, including routine backup practices. However, the Service is provided without guarantee of uninterrupted or error-free operation, and we do not guarantee against data loss, corruption, or downtime. We recommend Customers periodically export or independently retain copies of critical records where feasible. To the maximum extent permitted by law, MedImages is not liable for any loss of data except to the extent caused by our gross negligence or willful misconduct.
7. Intellectual Property
MedImages retains all right, title, and interest in and to the Service, including its software, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during an active subscription. You retain ownership of the data you and your staff enter into the Service ("Customer Data"). You grant MedImages a limited license to host, store, and process Customer Data solely to provide and support the Service.
8. Suspension & Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if: (a) payment is overdue and not resolved after reasonable notice; (b) we reasonably believe you have violated these Terms or applicable law; or (c) required to do so by law. Upon termination, your right to access the Service ends; we may retain Customer Data for a reasonable period as described in our Privacy Policy before deletion, and will make reasonable efforts to allow data export on request prior to deletion where operationally feasible.
9. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. MedImages does not warrant that the Service will be uninterrupted, secure, or error-free, or that it satisfies any specific regulatory certification unless expressly agreed in a separate written agreement.
10. Limitation of Liability
To the maximum extent permitted by law, MedImages and its developer(s) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, MedImages' total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you to MedImages in the three (3) months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold MedImages harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your or your staff's misuse of the Service; (c) Customer Data you enter into the Service, including any claim that you lacked the necessary patient consent or legal basis to process it; or (d) your violation of applicable law, including healthcare data protection law.
12. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above when we do, and for material changes we will make reasonable efforts to notify active subscribers. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, unless a mandatory local law applicable to you requires otherwise.
